# JINJIANG HOTELS subsidiary Plateno acquires minority shareholder equity in three controlled subsidiaries

According to the announcement from JINJIANG HOTELS (600754.SH), the company's wholly-owned subsidiary Plateno Investment Limited (hereinafter referred to as "Plateno") has signed an "Equity Transfer Agreement regarding Lavande Holdings Limited" with Prosperous, MapleL, Zheng Nanyan, Hao Jianpeng, Su Lei, and Zhang Zhonghao. Plateno will acquire a 19% equity stake in Lavande held by Prosperous and a 19% equity stake in Lavande held by MapleL through a negotiated transfer, with a total transaction price of approximately 1.1 billion yuan.

Plateno has also signed an "Equity Transfer Agreement regarding Xana Hotelle Holdings Limited" with Fortune News, DaChow, DeerHarvest, Zheng Nanyan, Zhou Xiangwei, and Lu Siyun. Plateno will acquire a 15.2% equity stake in Xana held by Fortune News, a 5.7% equity stake in Xana held by DaChow, and an 11.4% equity stake in Xana held by DeerHarvest through a negotiated transfer, with a total transaction price of approximately 290 million yuan.

Additionally, Plateno has signed an "Equity Transfer Agreement regarding Coffetel Holdings Limited" with Prosperous, Fortune News, Plan 2, Sammuel Trading, Zheng Nanyan, Li Yingcong, and Xu Guanhong. Plateno will acquire a 19% equity stake in Coffetel held by Prosperous, a 7.35% equity stake in Coffetel held by Fortune News, a 4.75% equity stake in Coffetel held by Plan 2, and a 6.9% equity stake in Coffetel held by Sammuel Trading through a negotiated transfer, with a total transaction price of approximately 324 million yuan.

Through this equity structure adjustment, the company can further enhance its control over subsidiaries, improve decision-making efficiency, integrate company resources, reduce management costs, and maximize overall value. This is beneficial for the company's comprehensive management of the three target companies, clarifying the organizational structure and business division, and assisting in the company's future strategic development planning. After the completion of this transaction, Plateno will hold a 95% equity stake in Lavande, Xana, and Coffetel respectively. The target companies will complete the cancellation of the remaining 5% equity within three months after the completion of this transaction's delivery. Once the cancellation is completed, Plateno will hold a 100% equity stake in Lavande, Xana, and Coffetel respectively
