# SXLY: Termination of Asset Restructuring Matters

According to the Zhitong Finance APP, SXLY (002627.SZ) announced that it previously disclosed its plan to acquire 100% equity of Changjiang Sanxia Tourism Development Co., Ltd. (hereinafter referred to as "Changjiang Tourism Development") from Sanxia Base Development Co., Ltd. through the issuance of shares, and to purchase 100% equity of Yichang Xing Sheng Construction Investment Co., Ltd. (hereinafter referred to as "Xing Sheng Company") from Yichang Cultural Tourism Investment and Development Co., Ltd. (formerly Yichang Transportation and Tourism Investment and Development Co., Ltd.) and raise supporting funds.

Since the launch of this asset restructuring, the company and relevant parties have actively promoted various tasks. Due to significant changes in market conditions, transaction cycles, and the secondary market compared to the initial planning of this restructuring transaction, in order to protect the interests of the company and all parties, it is proposed to terminate this asset restructuring matter after friendly consultations among all parties
