# SINO-LIFE GROUP: The agreement regarding the acquisition of approximately 19.46% equity in Guangdong Yinwei has become invalid

According to the announcement from SINO-LIFE GROUP (08296), the proposed acquisition of approximately 19.46% equity in Guangdong Yinwei has not been completed by December 31, 2024 (the final deadline of the equity transfer agreement) due to the failure to meet the conditions precedent of the equity transfer agreement, and thus the equity transfer agreement has become invalid. The parties to the equity transfer agreement have no other responsibilities or obligations under the equity transfer agreement. The board believes that the invalidation of the equity transfer agreement will not have a significant adverse impact on the group's business, operations, and financial condition
