BCEER's controlling shareholder voluntarily commits not to reduce its holdings in the company within six months

According to the Zhitong Finance APP, BCEER (300958.SZ) announced that its stock was listed on the Shenzhen Stock Exchange's Growth Enterprise Market on March 29, 2021. The company's controlling shareholder is Beijing Construction Group Co., Ltd. (referred to as "Beijing Construction Group"). As of the date of this announcement, Beijing Construction Group holds 65,687,152 shares of the company, accounting for 41.9093% of the company's current total share capital. All shares held by Beijing Construction Group were shares prior to the initial public offering. According to relevant regulations and the share lock-up commitment made by Beijing Construction Group, the lock-up period is 36 months, from March 29, 2021, to March 28, 2024. On January 27, 2025, the company received a letter from its controlling shareholder, Beijing Construction Group, titled "Letter of Voluntary Commitment Not to Reduce Holdings of BCEER Shares" (referred to as "Voluntary Non-Reduction Commitment"). Based on its confidence in the future development prospects of BCEER and recognition of the company's value, Beijing Construction Group made this commitment to promote the continuous, stable, and healthy development of the company and to protect the rights and interests of the company's shareholders as follows: Within six months from the date of this commitment letter, Beijing Construction Group will not reduce its holdings of BCEER shares in any way. The passive reduction of the number of BCEER shares held due to statutory circumstances is not subject to the aforementioned commitment; Beijing Construction Group will continue to legally support the operations of the listed company, enhance the company's core competitiveness, and urge the company to continuously improve the level of investor returns. If Beijing Construction Group violates the above commitment and actively reduces its holdings of BCEER shares, all proceeds will belong to BCEER, and it will bear the legal responsibilities arising therefrom
