# NMHD plans to acquire 60% equity in Zhenglanqi Wind Power and 75.51% equity in Northern Duolun, resuming trading on February 21

According to the Zhitong Finance APP, Inner Mongolia Huadian (600863.SH) has announced a plan for issuing shares and paying cash to acquire assets and raise supporting funds, as well as related transactions. Inner Mongolia Huadian intends to purchase 60% equity of Zhenglanqi Wind Power and 75.51% equity of Beifang Duolun from Beifang Company through a combination of issuing shares and cash payment, and will issue shares to no more than 35 specific investors to raise supporting funds. The price of the shares issued this time will not be less than 80% of the average trading price of the listed company's shares over the 20 trading days prior to the pricing benchmark date, which is 3.32 yuan/share.

It is reported that the target companies, Zhenglanqi Wind Power and Beifang Duolun, are located in Zhenglanqi and Duolun County of Xilin Gol League in Inner Mongolia Autonomous Region. They are the construction and operation companies for Beifang Company's "Beifang Shangdu Million-Kilowatt Wind Power Base Project," mainly engaged in the investment development and operation management of wind power generation, with a total installed capacity of 1.6 million kilowatts, including 1.1 million kilowatts for Zhenglanqi Wind Power and 500,000 kilowatts for Beifang Duolun. This project is the first new energy project in the country to build its own 220 kV transmission line and the first large-scale land energy base project in the country to fully apply wind turbines with a capacity of 4.5 megawatts or more.

Before this transaction, the main business of the listed company was power generation and heating business primarily based on thermal power, as well as new energy power generation business mainly based on wind and solar power, and it also engaged in coal production and sales; after the completion of this transaction, the main business scope of the listed company remains unchanged.

After the company applied to the Shanghai Stock Exchange, the company's stock will resume trading from February 21, 2025
