# The actual controller of LIYUAN is proposed to be changed to Zhang Yuan

According to the Zhitong Finance APP, LIYUAN (002501.SZ) announced that on February 20, 2025, it received a notification from its actual controller Mr. Wu Rui and the controlling shareholder Beiyou Intelligent Technology (Shenzhen) Co., Ltd. (hereinafter referred to as "Beiyou Intelligent" or "Target Company"): Three individual shareholders of Beiyou Intelligent, Wu Rui, Chen Yang, and Liu Jiang, signed an "Equity Transfer Agreement" with Jiangsu Bubugao Real Estate Co., Ltd. (hereinafter referred to as "Jiangsu Bubugao"), under which Jiangsu Bubugao will acquire 100% equity of the Target Company held by Wu Rui, Chen Yang, and Liu Jiang for a consideration of RMB 38 million.

As of the date of this announcement, Beiyou Intelligent holds 800 million shares of the company, accounting for 22.54% of the company's total share capital, making it the controlling shareholder. If this transaction is successfully completed, Jiangsu Bubugao will hold 100% equity of Beiyou Intelligent. Mr. Zhang Yuan is the actual controller of Jiangsu Bubugao and will indirectly control 22.54% of the company's equity through Jiangsu Bubugao. The actual controller of the company will change from Mr. Wu Rui to Mr. Zhang Yuan; however, the controlling shareholder of the company will remain Beiyou Intelligent
