# GZCBN: The indirect controlling shareholder Media Group has been renamed and plans to implement a restructuring and integration with Colorful Guizhou Network

According to the announcement from Zhitong Finance APP, GZCBN (600996.SH) stated that on February 20, 2025, the company received a notification from its indirect controlling shareholder, Guizhou Radio and Television Media Group Co., Ltd. ("Media Group"). In accordance with the overall arrangement and deployment of the Guizhou Provincial Committee of the Communist Party of China and the Guizhou Provincial People's Government regarding the deepening of the reform of provincial state-owned cultural enterprises, the Media Group has been renamed Guizhou Radio and Television Network Media Group Co., Ltd. ("Radio and Television Network Media Group") and was officially established on February 18. Subsequently, the Radio and Television Network Media Group will implement a restructuring and integration with Duocai Guizhou Network Co., Ltd. ("Duocai Guizhou Network"), with the Radio and Television Network Media Group as the main body absorbing and merging Duocai Guizhou Network, inheriting all assets, liabilities, businesses, personnel, contracts, qualifications, and other rights and obligations of Duocai Guizhou Network.

It is reported that the restructured Radio and Television Network Media Group will have the Guizhou Provincial State-owned Assets Supervision and Administration Commission ("Provincial SASAC") authorized by the provincial government to perform the responsibilities of the investor for provincial state-owned cultural enterprises, and the Provincial SASAC will legally and in accordance with regulations entrust the Propaganda Department of the Guizhou Provincial Committee of the Communist Party of China to perform the responsibilities of the investor. This renaming of the company's indirect controlling shareholder and restructuring integration does not involve any changes in the shareholding of the company's indirect controlling shareholder, and the company's controlling shareholder, indirect controlling shareholder, and actual controller have not changed, which does not affect the company's governance and production and operation activities
