# ORIENTAL PAY plans to issue convertible bonds with a principal amount of HKD 7.817 million

According to the announcement from ORIENTAL PAY Group Holdings (08613), on March 13, 2025, the company entered into a subscription agreement with the subscribers (Nodia Properties (TH) Limited, Ventec Invest Aps, and Mr. Paul Stefano Spina), under which the company conditionally agrees to issue convertible bonds to the subscribers, and the subscribers conditionally agree to subscribe for convertible bonds with a total principal amount of HKD 7.817 million, with a conversion price of HKD 0.115 per share.

The conversion price of HKD 0.115 per share represents a discount of approximately 13.53% to the closing price of HKD 0.1330 per share reported on the Stock Exchange on March 13. Assuming that the total issued share capital of the company remains unchanged, the shares to be converted will account for approximately 3.53% of the company's existing issued share capital as of the date of this announcement; and the total issued share capital of the company after the allocation and issuance of the converted shares will be approximately 3.41%
