# SHEN MACHINE: Plans to issue shares to purchase assets and raise supporting funds

SHEN MACHINE announced that the company plans to issue shares to acquire 100% equity of Zhongjie Factory and 100% equity of Zhongjie Aerospace held by General Shenyang Machine Group. It also intends to issue shares to General Machine Tool Company to purchase 78.45% equity of Tianjin Tianduan, while issuing shares to no more than 35 qualified specific objects to raise supporting funds. This transaction constitutes a related party transaction and a significant asset restructuring, but does not constitute a restructuring listing. The Mergers and Acquisitions Review Committee of the Shenzhen Stock Exchange is scheduled to hold the third Mergers and Acquisitions Review Committee meeting of 2025 on March 28, 2025, to review the company's transaction matters
