Shenzhen Broadcasting Group promises that the cumulative audited net profit of Tianqing Digital for the three fiscal years from 2025 to 2027 will not be less than 33.01 million yuan. The funds for this acquisition will come from the company's own funds, and the counterparty, Shenzhen Broadcasting Group, is the company's controlling shareholder and actual controller. This transaction constitutes a related party transaction and has been approved within the authority of the board of directors, so it does not need to be submitted for shareholder meeting approval
