# GUOFENG: Plans to acquire 58.33% of Jinzhang Technology shares

GUOFENG announced that it plans to purchase a total of 46.2638 million shares of Jinzhan Technology held by Shi Kewei and 10 other trading parties through the issuance of shares and cash payment, accounting for 58.33% of the total share capital after the cancellation of treasury shares of Jinzhan Technology. The transaction price is set at 700 million yuan, with 364 million yuan paid in shares and 336 million yuan paid in cash. The total amount of raised supporting funds will not exceed 700 million yuan, intended for the payment of cash consideration for this transaction, intermediary fees, and issuance expenses, among others. Upon completion of the transaction, Jinzhan Technology will become a controlling subsidiary of GUOFENG
