# WELLCELL HOLD: Executive Director Qian Fenglei appointed as Chairman

> WELLCELL HOLD announced that starting from May 26, 2025, Jia Zhengyi will resign as Chairman of the Board but will continue to serve as Chief Executive Officer and Executive Director. Executive Director Qian Fenglai has been appointed as the new Chairman. Dr. Liang Guangxi will not seek re-election as Independent Non-Executive Director due to personal matters and will resign after the Annual General Meeting. Chen Weiduan will be appointed as Independent Non-Executive Director and a member of various committees on the same day

According to the announcement from WELLCELL HOLD (02477), starting from May 26, 2025 (after the conclusion of the annual general meeting), the Chairman of the Board, Chief Executive Officer, and Executive Director Jia Zhengyi has resigned from the position of Chairman. After resigning as Chairman, Jia Zhengyi will continue to serve as Chief Executive Officer and Executive Director; and Executive Director Qian Fenglei has been appointed as Chairman.

Dr. Liang Guangxi stated that he will not seek re-election at the annual general meeting as he will devote more time to other personal matters. Therefore, from the conclusion of the annual general meeting, Dr. Liang will resign as the company's Independent Non-Executive Director and will no longer serve as a member of the Audit Committee, Remuneration Committee, and Nomination Committee.

Starting from May 26, 2025 (after the conclusion of the annual general meeting), Chen Weiduan has been appointed as an Independent Non-Executive Director and a member of the Audit Committee, Remuneration Committee, and Nomination Committee
