# IMPERIUM FIN GP: Potential buyers have not yet paid the earnest money

According to the announcement from IMPERIUM FIN GP (08029), as of the date of this announcement, the potential buyer has not yet paid the earnest money (according to the terms of the memorandum of understanding, the earnest money should be paid within 14 days after the signing of the memorandum of understanding, i.e., by May 13, 2025). The potential buyer is still arranging the funds and has committed to the selling shareholders that the earnest money will be paid on or before July 4, 2025; the potential buyer is conducting its due diligence; and the potential buyer is still negotiating the terms of the possible transaction with the selling shareholders. The potential buyer is preparing documents to seek prior approval from the Securities and Futures Commission to become the major shareholder of Imperial International Securities Limited and Imperial International Asset Management Limited (both of which are subsidiaries of the company and licensed corporations under the Securities and Futures Ordinance), and no formal or legally binding sale agreement has been reached regarding the possible transaction
