# HAICHANG HLDG appointed SOMERLEY CAP as an independent financial advisor

According to the announcement from HAICHANG HLDG (02255), the licensed corporation Somerley Capital, which is regulated under the Securities and Futures Ordinance for Type 1 (dealing in securities) and Type 6 (advising on corporate finance) activities, has been appointed as an independent financial advisor to provide advice to the independent board committee and independent shareholders regarding the subscription matters and the clean waiver, particularly concerning the terms of the subscription and the proposed transactions under it (including but not limited to special mandates) and whether the terms of the clean waiver are fair and reasonable and in the overall interests of the company and its shareholders' voting rights. The appointment of Somerley Capital as the independent financial advisor has been approved by the independent board committee in accordance with Rule 2.1 of the Takeovers Code
