# Sino Wealth's controlling shareholder plans to change to Zhineng Gongdian, resuming trading on June 10

According to the Zhitong Finance APP, Sino Wealth (300327.SZ) announced that recently the company's controlling shareholder, Weilang International Group Co., Ltd. ("Weilang International"), and the company's shareholder Win Channel Ltd. (hereinafter referred to as "Win Channel") (collectively referred to as "Transferors") signed a "Share Transfer Agreement" with Shanghai Zhinen Industrial Electronics Co., Ltd. (hereinafter referred to as "Zhinen Industrial" or "Transferee"). Weilang International intends to transfer 31,718,000 unrestricted tradable shares of the company to Zhinen Industrial through an agreement transfer, while Win Channel intends to transfer 16,767,400 unrestricted tradable shares of the company to Zhinen Industrial through an agreement transfer, totaling 48,485,400 unrestricted tradable shares, accounting for 14.20% of the company's total share capital, and 14.28% of the total share capital after excluding the shares in the company's repurchase special account; at the same time, Weilang International intends to entrust all voting rights of the remaining 31,392,200 shares of the company it holds (accounting for 9.20% of the company's total share capital, and 9.25% of the company's total share capital after excluding the shares in the company's repurchase special account) to Zhinen Industrial, with the entrustment period starting from the date of transfer of shares for 24 months.

If this share transfer and voting rights entrustment matter is ultimately implemented, Zhinen Industrial will control a total of 79,877,600 shares of the company, accounting for 23.40% of the company's total share capital, and 23.53% of the total share capital after excluding the shares in the company's repurchase special account; the company's controlling shareholder will change to Zhinen Industrial, and the actual controller of the company will change to no actual controller.

After the company applied to the Shenzhen Stock Exchange, the company's stock will resume trading from June 10, 2025 (Tuesday)
