CHEN DIAN INTERNATIONAL signs strategic cooperation agreement for Zambia photovoltaic project

According to the Zhitong Finance APP, CHEN DIAN INTERNATIONAL (600969.SH) announced that on June 12, 2025, the company reached a strategic cooperation intention with Energypool Resources Limited (Chinese name: Zambian Energy Pool Resources Co., Ltd., hereinafter referred to as "Zambian Energy Pool Company") and Kafue Gorge Regional Training Centre (Chinese name: Zambian Kafue Gorge Regional Training Centre, hereinafter referred to as "Kafue Gorge Regional Training Centre") for photovoltaic projects, and signed the "Strategic Cooperation Agreement for the 50MW Photovoltaic Project in CHOMA, Zambia" (hereinafter referred to as "Strategic Cooperation Agreement 1") and the "Strategic Cooperation Agreement for the 10MW Photovoltaic Project in the Namalundu Solar Park, Zambia" (hereinafter referred to as "Strategic Cooperation Agreement 2"). The parties will carry out strategic cooperation around photovoltaic projects based on their respective advantageous resources. The company plans to jointly establish a project company with Zambian Energy Pool Company to develop and operate the 50MW photovoltaic project in the CHOMA region of Zambia. The company intends to invest in cash and technology, holding 85% of the shares; Zambian Energy Pool Company will contribute 200 hectares of project land (99-year usage rights), development rights, environmental and social evaluation work, grid access impact analysis, as well as pre-feasibility studies and other preliminary expenses, holding 15% of the shares. The company plans to jointly establish a project company with Kafue Gorge Regional Training Centre, with the company investing in cash and technology, holding 90% of the shares; Kafue Gorge Regional Training Centre will contribute 12 hectares of project land (99-year usage rights), development rights, environmental and social evaluation work, grid access impact analysis, as well as pre-feasibility studies and other preliminary expenses, holding 10% of the shares; if the subsequent on-grid electricity price increases to above 7 cents/kWh, the shareholding ratio of Kafue Gorge Regional Training Centre may be appropriately increased based on calculations and negotiations between both parties. The company signed "Strategic Cooperation Agreement 1" and "Strategic Cooperation Agreement 2" with Zambian Energy Pool Company and Kafue Gorge Regional Training Centre to develop photovoltaic projects, fully leveraging their respective advantages in the field, utilizing the sharing, collaboration, integration, and complementarity of both parties' advantageous resources, which will effectively enhance the company's development capabilities in the new energy market in Zambia, accelerate the layout of overseas business, and accumulate valuable project experience and localized operational capabilities for subsequent expansion into overseas markets
