# Xinhao Photoelectricity Technology plans to transfer 100% equity of Anhui Xinguang to LUXSHARE-ICT

According to the announcement from Dolphin Research, Xinhao Photoelectricity Technology (301051.SZ) has signed a "Share Transfer Intent Agreement" with LUXSHARE-ICT on June 22, 2025. The company intends to transfer 100% equity of its wholly-owned subsidiary Xinguang Energy Technology (Anhui) Co., Ltd. (hereinafter referred to as "Anhui Xinguang"). Currently, this transaction is still in the preliminary planning stage, and the transaction plan needs further verification and communication negotiation. There is uncertainty regarding whether the parties involved in this transaction can sign the final share transfer agreement.

Since Ms. Wang Yayuan, a shareholder and director holding more than 5% of the company's shares, has a father, Mr. Wang Laisheng, who is one of the actual controllers and vice chairman of LUXSHARE-ICT, according to the related party relationship stipulated in the "Shenzhen Stock Exchange GEM Stock Listing Rules," LUXSHARE-ICT is a related legal entity of the company. The company's proposed transfer of 100% equity of its wholly-owned subsidiary Anhui Xinguang to LUXSHARE-ICT constitutes a related party transaction
