# COTRAN's subsidiary plans to transfer 21% equity of Ruiwei Automobile for 3.6 million yuan

According to the Zhitong Finance APP, COTRAN (300731.SZ) announced that its controlling subsidiary Suzhou Ruitek Thermal Technology Co., Ltd. (referred to as "Ruitek") holds a 51% stake in Ruiwei Automotive Parts (Chongqing) Co., Ltd. (referred to as "Ruiwei Automotive"). Ruiwei Automotive is a controlling subsidiary of the company, primarily engaged in the research, development, production, and sales of brazed liquid cooling plates. To continuously meet the technological innovation needs of leading customers in the power battery industry and ensure the effective implementation of high-end quality capacity construction, such as the capacity planning for supporting Kirin batteries and Shenxing batteries, Ruitek plans to further focus on the liquid cooling plate business for new energy vehicle power batteries.

Based on the above development plan, to further focus on development strategy, optimize resource allocation, and improve development quality, Ruitek intends to sign a "Share Transfer Agreement" with another shareholder of Ruiwei Automotive, Chongqing Pingwei Automotive Systems Co., Ltd. (referred to as "Chongqing Pingwei"). Ruitek plans to transfer its 21% stake in Ruiwei Automotive to Chongqing Pingwei for a price of 3.6 million yuan. This transfer price is based on the total equity value of Ruiwei Automotive as of the assessment benchmark date of May 31, 2025, and has been determined through friendly negotiation between the two parties. After the completion of the aforementioned share transfer, Ruitek will hold a 30% stake in Ruiwei Automotive, which will change to a Ruitek affiliated company, and Ruiwei Automotive will no longer be a controlling subsidiary of the company and will no longer be included in the company's consolidated financial statements
