# NOIZ GROUP has completed the issuance of consideration shares to acquire all applications and intellectual property of LOOP Space

According to the announcement from NOIZ GROUP (08163), (i) all the conditions precedent for the acquisition under the asset purchase agreement; and (ii) the subscription under the subscription agreement have been fulfilled, and the acquisition and subscription were completed on June 25, 2025. The company issued and allotted 90 million consideration shares and 30.86 million subscription shares to the seller in accordance with the terms of the asset purchase agreement and the subscription agreement. Upon completion of the acquisition, the target assets (i.e., all applications and intellectual property of LOOP Space) will be held by the group, and the net proceeds of approximately HKD 2.986 million from the subscription will be used as working capital for the operation of LOOP Space
