# Some shareholders of PRIMARIUS intend to transfer 5% of the company's shares to Shanghai Xinhhechuang

According to the announcement from Gaikun Electronics (688206.SH), on July 14, 2025, the company's shareholders KLProTech, Gongqingcheng Minglun, Gongqingcheng Fenglun, Gongqingcheng Weilun, Gongqingcheng Jinglun, Gongqingcheng Yilun, Gongqingcheng Zhilun, and Jinggangshan Xinglun (collectively referred to as the "Transferors") signed a "Share Transfer Agreement" with the transferee Shanghai Xinhhechuang. The Transferors intend to transfer a total of 21,758,900 shares of the company (accounting for 5% of the company's total share capital) to the transferee, with a transfer price of 28.16 yuan per share, resulting in a total transfer price of 613 million yuan.

Before this agreement transfer, the Transferors collectively held 187 million shares of Gaikun Electronics, accounting for 42.90% of the company's total share capital; the transferee did not hold any shares of the company. After this agreement transfer, the Transferors will collectively hold 165 million shares of Gaikun Electronics, accounting for 37.90% of the company's total share capital; the transferee will hold a total of 21,758,900 shares of the company, accounting for 5% of the company's total share capital
