# Jinlihua Electric terminates the planning of a major asset restructuring

According to the Zhitong Finance APP, Jinlihua Electric (300069.SZ) announced that the company plans to acquire 100% equity of Beijing Haideli Sen Technology Co., Ltd. (referred to as "the target company") through the issuance of shares and cash payment, and intends to issue shares to the controlling shareholder of the listed company to raise matching funds (referred to as "this transaction"). This transaction constitutes a related party transaction and is expected to constitute a major asset restructuring, but does not constitute a restructuring listing.

Since the company planned this transaction, it has strictly followed the relevant laws and regulations and actively organized all parties involved to promote various aspects of this transaction. The company and the parties related to this transaction have conducted multiple demonstrations and consultations on the transaction plan. However, due to the failure of the parties to reach a consensus on all key terms of the transaction, after careful consideration, the parties have decided to terminate this transaction
