# BRILLIANCE TECH.: Termination of the issuance of shares and cash payment to acquire 96.9628% equity of Tianyi Enhua

BRILLIANCE TECH. announced that the company will hold the 22nd meeting of the 11th Board of Directors on August 11, 2025, to review and approve the proposal to terminate the issuance of shares and cash payment for asset acquisition and the fundraising of supporting funds as well as related party transactions. The company intends to acquire 96.9628% equity of Beijing Tianyi Enhua Technology Co., Ltd. through a combination of issuing shares and cash payment, and to issue shares to no more than 35 specific investors to raise supporting funds. Due to the parties involved in the transaction not reaching an agreement on the core terms of the transaction after sufficient consultation and negotiation, it was decided to terminate this transaction
