The shares of Nanjing Bank, which have distinctive characteristics and relatively good quality, have undergone changes again.
On August 11, Nanjing Bank announced that its shareholder holding more than 5%, Jiangsu Transportation Holding Co., Ltd., confirmed the free transfer of 496 million shares of Nanjing Bank held by its wholly-owned subsidiary, Jiangsu Yunsong Capital Management Co., Ltd.
Before this transfer, Jiangsu Transportation Holding Co., Ltd. held a 9.99% stake, while Jiangsu Yunsong Capital Management Co., Ltd. held a 4.02% stake. After the completion of the free transfer of the aforementioned shares, Yunsong Capital will no longer hold shares in Nanjing Bank, and Jiangsu Transportation Holding's stake in Nanjing Bank will increase to 14.01%.
Previously, NJGK had already increased its stake in the secondary market. This may indicate that all parties have a strong interest in holding shares of Nanjing Bank and cherish them greatly.
<h2>Internal &#34;Consolidation&#34; of Shares by Jiangsu Transportation Holding</h2>
The announcement shows that Jiangsu Yunsong Capital Management Co., Ltd. is a wholly-owned subsidiary of Jiangsu Transportation Holding Co., Ltd. and is considered a concerted actor as defined by the &#34;Measures for the Administration of the Acquisition of Listed Companies.&#34;
Thus, the share transfer of Nanjing Bank this time is an internal transfer between concerted actors, not involving an increase or decrease in the market, and does not trigger a tender offer.
The announcement indicates that Jiangsu Transportation Holding and Yunsong Capital have signed a share free transfer agreement, which still needs to be registered with the Shanghai branch of China Securities Depository and Clearing Corporation Limited.

The announcement states that this share transfer will not change the situation of Nanjing Bank having no controlling shareholder or actual controller.
However, in reality, the confidence and value perception of various shareholders in Nanjing Bank are very strong. In addition to the internal consolidation of shares by Jiangsu Transportation Holding, NJGK is also increasing its stake.
On August 4, Nanjing Bank announced that it received a notice from NJGK regarding the increase in shares of Nanjing Bank Co., Ltd. Based on confidence in the future development and value growth of Nanjing Bank, NJGK increased its holdings of Nanjing Bank shares through the Shanghai Stock Exchange trading system via centralized bidding from July 24, 2025, to August 4, 2025.
After the increase, NJGK's stake rose from 8.94% to 9.00%.
