# ZGC TEC LEASING appoints Xu Jingquan as the executive director of the second board of directors

> ZGC TEC LEASING announced that Zhang Jian has resigned from the position of chairman and multiple roles due to job changes, and Wei Tingquan has resigned from the position of non-executive director and audit committee member, both of which have been accepted by the board of directors. Zhang Jian will continue to perform his duties until the new legal representative takes office. Luo Feifei has resigned from the position of chairman of the supervisory board due to job changes. The board of directors recommends appointing Xu Jingquan and Yang Pengyan as executive directors of the second board of directors

According to the Zhitong Finance APP, ZGC TEC LEASING (01601) announced that the board of directors received written resignations from Zhang Jian and Wei Tingquan on August 12, 2025. Zhang Jian resigned from the positions of chairman, non-executive director, chairman of the nomination committee, member of the remuneration committee, member of the risk control committee, and chairman of the environmental, social, and governance committee due to job changes. Wei Tingquan resigned from the positions of non-executive director and member of the audit committee due to job changes.

The resignations of Zhang Jian and Wei Tingquan have been accepted by the board of directors. Since the company's legal representative is held by the chairman, Zhang Jian will continue to perform his duties until the appointment of the new legal representative takes effect. Wei Tingquan has resigned from the company's non-executive director and audit committee member positions, effective August 12, 2025.

On August 12, 2025, the company's supervisory board received a resignation letter submitted by Luo Feifei, who requested to resign from the positions of chairman of the supervisory board and shareholder representative supervisor due to job changes, effective immediately.

In light of Zhang Jian's resignation, the board of directors, after considering the opinions of the nomination committee, resolved to recommend the appointment of Xu Jingquan and Yang Pengyan as executive directors of the second board of directors (recommended directors)
