# HAILIANG: The shareholding ratio of the controlling shareholder has been passively diluted to 33.95% due to the conversion of convertible bonds

Zhejiang Hailiang Co., Ltd. announced that from August 5 to 12, 2025, the company's convertible bonds converted a total of 18,051,560 shares, increasing the total share capital from 2,052,185,305 shares to 2,070,236,865 shares. The shareholding ratio of the controlling shareholder Hailiang Group and its concerted parties was diluted from 34.25% to 33.95%, reaching a 1% integer multiple, but the number of shares held remained unchanged. This equity change does not involve a tender offer, will not lead to changes in the controlling shareholder and concerted parties, and does not affect the company's governance structure and ongoing operations. The company will continue to monitor changes in shareholder equity and disclose in accordance with regulations
