# SHENTONG TECHNOLOGY: The shareholding ratio of the controlling shareholder and its concerted parties has been passively diluted to reach the 5% threshold

SHENTONG TECHNOLOGY Group Co., Ltd. announced that from February 1, 2024, to August 14, 2025, the company's total share capital will increase from 425,930,951 shares to 431,037,311 shares due to the granting of restricted stock, repurchase and cancellation of shares, exercise of stock options, and conversion of convertible bonds. The shareholding ratio of the controlling shareholder and its concerted parties will be diluted from 75.82% to 74.92%, reaching a 5% threshold. This change is a result of passive dilution, does not involve active reduction, does not violate commitments, does not trigger a tender offer, and will not lead to changes in the controlling shareholder and actual controller, nor will it affect the company's operations
