# GUOEN HOLDINGS plans to issue shares at a discount of approximately 11.76%, aiming to raise a net amount of about HKD 2.7 million

According to the announcement from GUOEN HOLDINGS (08121), on August 21, 2025 (after the trading session of the Stock Exchange), the company entered into a placement agreement with the placement agent, under which the company conditionally agreed to place up to 5 million placement shares to no less than 6 placees (who and their ultimate beneficial owners, if applicable, are independent third parties) at a placement price of HKD 0.60 per share, representing a discount of approximately 11.76% to the closing price of HKD 0.680 per share reported on the Stock Exchange on the date of the placement agreement.

The maximum net proceeds from the placement are estimated to be approximately HKD 2.7 million, and the company intends to use all of the net proceeds from the placement to support the development of the group's healthcare business, including but not limited to hiring suitable talents; paying for the daily expenses of Shandong Guoen; launching marketing activities; and developing sales platforms
