# XINZHU CORPORATION: Plans to transfer 35.90929% equity in Aowei Technology for 361 million yuan

XINZHU CORPORATION announced that the company intends to transfer 35.90929% equity of Shanghai Aowei Technology Development Co., Ltd. to Sichuan Development Leading Capital Management Co., Ltd. through a non-public agreement, with a transaction price of 361 million yuan. After the completion of this transaction, the company will no longer hold any equity in Aowei Technology. This transaction constitutes a related party transaction and has been approved by the special meeting of the independent directors of the company at the fifth meeting of 2025 and the thirty-first meeting of the eighth board of directors, with related directors abstaining from voting. This transaction still requires approval from the company's shareholders' meeting
