# GOODWILL: The company will directly hold 58.7006% of the equity in GOODWILL Haishen

GOODWILL announced that the natural person shareholders of its controlling subsidiary Jiahe Haisen, Chen Lianzhong, Cai Ting, and Cui Kai, intend to transfer their respective holdings of 11.9%, 6.35%, and 2.38% of Jiahe Haisen's equity to the company's related party, Xia Jun. The wholly-owned subsidiary Jiahe Information will waive its preemptive right to this equity transfer and plans to transfer its 58.7% equity in Jiahe Haisen to the listed company free of charge. After the transaction is completed, the company's shareholding ratio in Jiahe Haisen will remain unchanged, shifting from indirect to direct ownership. This transaction constitutes a related party transaction and does not involve a major asset restructuring, and it still needs to be submitted for review at the fourth extraordinary shareholders' meeting in 2025. Jiahe Haisen's net profit for the first half of 2025 was -19.9129 million yuan
