# GAODI HOLDINGS: Termination of Acquisition of ABLE TALENT ASIA LIMITED

> GAODI HOLDINGS announced the termination of the acquisition of ABLE TALENT ASIA LIMITED due to the failure to meet satisfactory due diligence results. The acquisition agreement will expire on August 31, 2025. The company and the seller agreed to release each other from their respective obligations, and no initial payment was made. The termination of the agreement has no significant impact on the overall business

According to the announcement from GAODI HOLDINGS (01676), the company has not been satisfied with the results of the due diligence conducted on the target group. Therefore, the conditions precedent under the acquisition agreement were not fully met by August 31, 2025. As a result, the acquisition agreement has expired on August 31, 2025, and has been terminated immediately. The company and the seller have agreed to terminate and release each other from their respective obligations under the acquisition agreement. As of the date of this announcement, the group has not made the initial payment or any other consideration.

The company believes that the termination of the acquisition agreement will not have a significant impact on the overall business operations of the group
