# WH Group: Chairman Wan Long purchased 1.8 million shares of Smithfield in the secondary offering

> WH Group announced that Chairman Wan Long agreed to purchase 1.8 million shares in the secondary offering of Smithfield on September 5, 2025, accounting for approximately 8.01% of the shares issued. The subscription amount is approximately USD 41.85 million, reflecting Wan Long's confidence in the future development of Smithfield. The board believes that this subscription is in the overall interest of the company and its shareholders

According to the announcement from WH Group (00288), on September 5, 2025 (New York time), Wan Long, the chairman of the board and executive director, has agreed to purchase 1.8 million shares of Smithfield at the offering price and on the same terms as the other shares of Smithfield being offered in the secondary offering, representing approximately 8.01% of the shares offered in the Smithfield secondary offering and about 0.46% of the total issued share capital of Smithfield as of the date of this announcement. The consideration paid by Wan Long for the subscription is approximately USD 41.85 million.

The subscription reflects Wan Long's further recognition of the business development of Smithfield Group and his confidence in the future development of Smithfield Group. The board believes that although the subscription is not conducted in the ordinary and usual course of the Group's business, it is carried out on normal commercial terms, is fair and reasonable, and is in the overall interests of the company and its shareholders
