# Sunasia: Plans to sign a settlement agreement with Chongqing Shunyuan, the shareholder of the Zhenjiang project company

Sunasia announced that the company will hold a board meeting on September 9, 2025, to review and approve the proposal regarding the signing of an agreement with Chongqing Shunyuan, a shareholder of the Zhenjiang project company. According to the agreement, the company agrees to pledge 29.02% of its equity in Zhenjiang Big Whale to Chongqing Shunyuan and to extend the exit time to no earlier than December 31, 2026, under certain conditions. In addition, the company also agrees to adjust the interest rate for calculating the exit price in the investment agreement, with the first three years at 8% and thereafter at 10%. If the exit is not realized by December 31, 2026, the company will have the right to request the sale of equity at appraised value or to fulfill the equity purchase obligation by issuing shares
