# AOM INT'L has signed a memorandum of understanding for the potential acquisition of a 51% stake in Hainan Miao Lian Technology

> AOM INT'L signed a memorandum of understanding with Ms. Wang Fang, planning to potentially acquire a 51% stake in Hainan Miao Lian Technology. The target company is a digital solutions provider dedicated to helping traditional enterprises achieve digital transformation. The board believes this acquisition aligns with the investment strategy, will bring new revenue sources to the company, enhance the customer base, and serve the interests of the company and its shareholders

According to the Zhitong Finance APP, AOM INT'L (00381) announced that on September 12, 2025, the company entered into a memorandum of understanding with Ms. Wang Fang (the seller), where the parties agreed to negotiate the company's potential conditional acquisition of a 51% stake in Hainan Miao Lian Technology Co., Ltd. (the target company) that the seller may conditionally sell. Upon the final agreement (the final agreement) being established and completed regarding the potential acquisition by the company (or by a wholly-owned subsidiary nominated by the company), the financial performance of the target company will be consolidated into the company's financial statements.

The target company is a wholly-owned enterprise of the seller, registered in Hainan Province, China in 2021. The target company is a professional provider of enterprise digital solutions, with a mission to assist traditional manufacturing and sales entities in completing their digital transformation, enhancing operational efficiency and innovation capabilities. The target company's service scope covers all aspects of enterprise digitization, including digital strategy planning, business process optimization, data mining, machine learning, cloud computing, and big data.

The board of directors believes that the potential acquisition aligns with the group's investment strategy and is expected to strengthen the company's existing business. The board believes that the potential acquisition (if realized) will immediately bring new sources of income to the company and further enhance its revenue and customer base, thus serving the overall interests of the company and its shareholders
