# DL HOLDINGS GP wins strategic cooperation framework on RWA tokenization

> DL HOLDINGS GP has reached a strategic cooperation framework with Winner Fashion, achieving consensus on the RWA tokenization plan. Winner will use 10% of distributable profits for tokenization, and DL HOLDINGS GP will subscribe for 0.65% of Winner's equity at HKD 29.9 million, involving 4.6 million shares, priced at HKD 6.5, a discount of 18.75% compared to the last trading day. Upon completion, DL HOLDINGS GP will hold 0.7% of Winner's equity

DL HOLDINGS GP (01709.HK) and Winner Fashion (03709.HK) jointly announced that both parties have reached a consensus on the overall framework and direction for the RWA tokenization plan based on strategic cooperation. Winner will use a framework for tokenization of part of the distributable profits allocated to shareholders, with the amount calculated based on 10% of the revenue from Winner's main brand NEXY.CO in the fiscal year 2025.

At the same time, DL HOLDINGS GP subscribed to 0.65% of Winner's equity for HKD 29.9 million, involving 4.6 million shares, equivalent to a price of HKD 6.5 per share, representing an 18.75% discount to Winner's last trading day (12th) closing price. Upon completion, DL HOLDINGS GP will hold a total of 0.7% of Winner's equity
