# Planetree International issues new shares to exchange for 14.8% equity in HAO TIAN INTL

Planetree International (00613.HK) announced that its wholly-owned subsidiary PCL will issue 850 new shares to HAO TIAN INTL (01341.HK) at a price of HKD 400 million. HAO TIAN INTL will pay for the shares by issuing 1.6 billion consideration shares at an issue price of HKD 0.25, which represents a discount of 7.41% compared to today's (17th) closing price.

Upon completion, the company will hold 14.8% of HAO TIAN INTL's equity, becoming its major shareholder; the company's stake in PCL will be diluted from 100% to 70.2%, the latter being a licensed company under the Securities and Futures Commission
