# BROS controlling shareholder's concerted action internal share transfer has been completed

On July 1, 2025, Zheng Yafei, one of the actual controllers of BROS, signed a "Share Transfer Agreement" with Yang Yaobin, the company's director and general manager, to transfer 75 million shares at a price of 4.27 yuan per share, totaling 320.25 million yuan. On September 3, the transaction received compliance confirmation from the Shanghai Stock Exchange, and the transfer registration was completed on September 19, with the transfer date being September 18. After the transfer, Zheng Yafei no longer holds shares, while Yang Yaobin holds 5%. Yang Yaobin has committed to strictly fulfill shareholder obligations and will not reduce his holdings within 12 months. This transfer will not lead to a change in the company's actual controller and will not have a significant impact on the company's governance and operations
