Langdi Group: Acquired 20.1667% equity in JuJia Technology, with a total transaction price of 121 million yuan

Langdi Group announced that based on the recognition of the long-term investment value of Jujia Technology, the company signed an "Investment Agreement" on September 29, 2025, with Jianrui, Jujia Technology, Wang Yang, and other existing shareholders to acquire 20.1667% of the equity held by Jianrui in Jujia Technology for a total transaction price of 121 million RMB in cash. Before this transaction, the company held 1.8678% of the equity in Jujia Technology; after this transaction, the company's equity ratio in Jujia Technology will be 22.0345%. This transaction does not constitute a related party transaction, nor does it constitute a major asset reorganization as defined by the "Administrative Measures for Major Asset Restructuring of Listed Companies."
