# HATCHER GROUP plans to issue HKD 12 million convertible bonds to acquire a 2% stake in Esperanza Fintech (Commodities) Limited

According to the Zhitong Finance APP, HATCHER GROUP (08365) announced that on September 29, 2025, the company intends to acquire 2% of the issued share capital of Esperanza Fintech (Commodities) Limited from Esperanza Fintech Holdings Limited for HKD 12 million, which will be fully paid upon completion through the issuance of convertible bonds to the seller at a conversion price of HKD 1.5 per share.

It is reported that the target company (a wholly-owned subsidiary of the seller) issues digital gold-backed instruments, allowing holders to redeem 1 kilogram of 999.9 physical gold bars belonging to the target company and stored in the Hong Kong vault managed by Brink's (Hong Kong) Limited for 100,000 digital certificates, facilitating transactions through its platform.

The announcement stated that this equity investment aims to support the group's strategy of continuously expanding new revenue sources in the digital asset field, complementing its existing financial services business
