# CHINA TRAVEL HK recommends distributing the tourism real estate business with an optional cash dividend of 0.336 yuan

> CHINA TRAVEL HK recommends distributing its tourism real estate business, allowing shareholders to choose to receive either 1 share of private company stock or cash of HKD 0.336 per share. The distribution is expected to record a loss of approximately HKD 160 million, mainly due to the reclassification of exchange differences in the tourism real estate business. The company will restructure its tourism real estate business and establish a private company group, retaining businesses such as theme parks, natural and cultural scenic spots, and related services

China Travel HK (00308.HK) announced that in order to achieve the professional development of the group's core business, it is proposed to distribute the tourism real estate business in kind, allowing shareholders to choose to receive 1 share of private company stock for each share held; or receive cash of HKD 0.336 per share. The proposed distribution is expected to record a loss of approximately HKD 160 million, mainly due to the reclassification of cumulative exchange differences related to the tourism real estate business.

The company will internally restructure the tourism real estate business, to be held by a private company and establish a private company group, separating the private company group from the group through the distribution of private company shares in kind. Upon completion, the company will retain tourism scenic spots and related businesses, including theme parks, natural and cultural scenic destination services, and supporting services for tourism scenic spots; tourism documents and related businesses; and hotel and passenger transport businesses
