# FSL plans to introduce related parties to operate the new cafeteria at the Gaoming plant

On October 17, 2025, Foshan Electrical and Lighting Co., Ltd. announced that to optimize the living facilities at the Gaoming plant, the company is publicly bidding for the new canteen and the introduction of a third-party operation contracting project, intending to designate the related party Guangzhou Shengfeng as the winning bidder. Guangzhou Shengfeng is an indirectly controlled subsidiary of the company's controlling shareholder. This related transaction has been approved by the board of directors and does not require approval from the shareholders' meeting. The transaction object is the new canteen operation contracting project, and the pricing follows the principles of openness, fairness, and justice. A contract will be signed subsequently, with a contracting period of three years. The transaction aims to enhance logistics services and employee satisfaction without harming the interests of the company and minority shareholders. From the beginning of 2025 to the disclosure date, the company has conducted related transactions amounting to 6.9276 million yuan with related parties
