# Emdoor Info plans to acquire Langguo Technology and become the controlling shareholder of Information Holdings, resuming trading on October 20

According to the Zhitong Finance APP, Emdoor Info (001314.SZ) has disclosed a plan for issuing shares and paying cash to purchase assets and raise supporting funds, as well as related party transactions. The company intends to purchase 100% equity of Langguo Technology held by 13 counterparties, including Longyuan Holdings, Zhan Mingxue, Wu Xiaoyao, and Langcheng Partners, through the issuance of shares and cash payment. Additionally, it plans to purchase 100% equity of Chengwei Information held by 9 counterparties, including Wang Tao, Zhang Hongmei, Chengwei Technology, Jiang Songlin, and Yang Haibo, while raising supporting funds. Upon completion of the transaction, Langguo Technology and Chengwei Information will become wholly-owned subsidiaries of the listed company. The issuance price for the shares to purchase assets is set at 38.55 yuan per share, and the issuance price for raising supporting funds will not be less than 80% of the average trading price of the company's stock over the 20 trading days prior to the pricing benchmark date.

The announcement states that after the transaction is completed, the listed company will achieve complementary advantages and deep synergy with the target companies in product forms, technical capabilities, application scenarios, sales channels, and supply chain management. Langguo Technology's technological accumulation in interactive control and device interconnection will enhance the interactive experience and intelligence level of the company's terminal products, strengthening the listed company's ability to deliver integrated software and hardware solutions in existing advantageous scenarios such as smart education and smart office, and further expand into niche markets such as digital commercial display and home IoT. Chengwei Information's leading advantages in RFID intelligent data collection will improve the listed company's key layout in the perception layer of the industrial IoT, promoting further expansion into niche markets such as smart manufacturing, smart logistics, and warehouse management, and enhancing overall delivery capabilities in the field of industrial digitalization. Both target companies have certain revenue and asset scales, good profitability, and operational prospects, making this transaction beneficial for increasing the listed company's revenue and profits.

In addition, the company's stock will resume trading on October 20, 2025
