# XTEMD: The transfer of state-owned equity without compensation will not affect the change of controlling shareholders and actual controllers

XTEMD announced that Xiangtan Industrial Investment Development Group Co., Ltd. will transfer its 100% equity in the company's indirect controlling shareholder, Xiangtan Zhenxiang State-owned Assets Operation Investment Co., Ltd., to Xiangtan Electric Chemical Industry Investment Holding Group Co., Ltd. free of charge. This transfer of state-owned equity is conducted between different entities under the same actual controller and complies with the circumstances exempt from making an offer as stipulated in the "Measures for the Administration of the Acquisition of Listed Companies." This transfer of state-owned equity will not result in a change in the company's controlling shareholder and actual controller; the controlling shareholder remains Xiangtan Electric Chemical Group Co., Ltd., and the actual controller remains the State-owned Assets Supervision and Administration Commission of the Xiangtan Municipal People's Government
