(Wuhua Yangke) recently received a notice of agreement processing issued by the Wuhua County Medical Security Administration Center (Wuhua Medical Insurance Administration Center) on October 23, 2025. According to the notice, due to the deviation of the blood dialysis treatment center operated by Wuhua Yangke (Wuhua Blood Dialysis Center) from the conventional medical prescription practices, it has violated the prescription management measures, the Drug Administration Law of the People's Republic of China, and the medical security service agreement (security service agreement) of designated medical institutions in Meizhou City. As a result, the Wuhua Medical Insurance Administration Center has taken the following measures against Wuhua Yangke: 1. The legal representative and management of Wuhua Yangke must attend a meeting with the Wuhua Medical Insurance Administration Center and rectify the relevant non-compliance issues; and 2. The security service agreement signed between Wuhua Yangke and the Wuhua Medical Insurance Administration Center will be suspended from November 1, 2025, for a period of 61 days (suspension period). Aside from the disclosures above, Wuhua Yangke and/or Wuhua Blood Dialysis Center have not received any other penalties. The company attaches great importance to these non-compliance issues and will immediately implement rectification measures to comply with the provisions of the notice and prevent similar incidents from occurring again. The relevant rectification measures include but are not limited to a comprehensive internal control review of the operations of Wuhua Blood Dialysis Center (especially the medical prescription process) and increasing personnel at Wuhua Blood Dialysis Center to monitor operational practices and processes to ensure strict compliance with applicable laws and regulations in China. The company has also reviewed the operational practices and processes of other blood dialysis centers operated by the group and confirmed that no similar non-compliance issues were found at other centers. During the suspension period, Wuhua Blood Dialysis Center will remain open but will only carry out services outside the scope of the security service agreement. Since blood dialysis services are covered by the security service agreement, Wuhua Blood Dialysis Center will not provide any related services. During the suspension period, the group will divert existing blood dialysis patients from Wuhua Blood Dialysis Center to nearby other blood dialysis treatment centers and/or hospitals.
