# IVD MEDICAL's acquisition agreement for a 20.31% stake in GOFINTECH QUANT has expired

> IVD MEDICAL announced that the agreement to acquire a 20.31% stake in GOFINTECH QUANT has lapsed due to the failure to meet certain preconditions before the deadline, with a transaction amount of 3.142 billion yuan. At the same time, IVD MEDICAL decided not to apply for shareholder authorization for a potential cryptocurrency acquisition, citing the need for more time to obtain specific authorization at the extraordinary general meeting

IVD MEDICAL (01931.HK) announced that the agreement to acquire a 20.31% stake in GOFINTECH QUANT (00290.HK) from Dr. Liu Zhiwei, AI International Capital, and Caitex Technology for a cost of HKD 3.142 billion has lapsed, due to certain conditions precedent under the agreement not being fulfilled or waived by the final deadline (i.e., October 31).

At the same time, the resolution to apply for shareholder authorization for a potential cryptocurrency acquisition (capped at HKD 3 billion) will not proceed, as additional time is needed to approve the specific authorization for the potential acquisition at the extraordinary general meeting
