# Sealand Securities: The concerted actors of the actual controller have completed the internal equity structure adjustment and share transfer

Sealand Securities announced that on September 26, 2025, the company's actual controller, Guangxi Investment Group, signed an agreement with its controlling subsidiary, Guangtou Jinkong, to increase capital by holding 859 million shares of Zhongheng Group. As of the announcement date, Zhongheng Group and Guangtou Jinkong held 3.84% and 6.75% of Sealand Securities, respectively. On November 3, the relevant shares completed the transfer registration. After the adjustment, Guangtou Jinkong became the controlling shareholder of Zhongheng Group, directly or indirectly holding 10.60% of Sealand Securities, remaining the company's major shareholder and second-largest shareholder. This adjustment does not affect the company's actual controller and control rights, and part of Zhongheng Group's shares are locked until November 17, 2028
