# The strategic cooperation agreement between KELI's subsidiary and the professional investment institution has been terminated

According to the Zhitong Finance APP, KELI (002892.SZ) announced that its wholly-owned subsidiary Shenzhen Pengrui Investment Development Co., Ltd. (referred to as "the subsidiary") has signed a "Strategic Cooperation Agreement" with Shenzhen Ruiye Shujin Private Equity Fund Management Co., Ltd. (formerly known as Shenzhen Ruiye Shujin Asset Management Co., Ltd.) (referred to as "Ruiye Shujin"). The two parties intend to jointly establish a private equity fund platform focused on the motor-related industry through diversified channels and resource integration.

Due to objective reasons leading to changes in the establishment conditions of the partnership fund, and in order to protect the interests of the company and all shareholders, all parties have actively engaged in multiple rounds of consultations to explore solutions together. However, due to various factors such as changes in the market environment and adjustments in the actual situations of both parties and related interested parties, based on the principle of prudent fund usage and reducing investment risks, both parties have agreed to terminate this agreement
