Golden Rock Global ( (GB:GCG) ) has provided an update.

Golden Rock Global has signed non-binding, conditional, exclusive Heads of Terms to acquire the entire issued share capital of SSS Matrix Corp., a fast-growing, vertically integrated technology group active in applied AI, commodity and supply-chain management, and blockchain-based digital finance and payment systems. The proposed all-share deal, which will include a lock-up on consideration shares issued to key SSSM shareholders and executives, would see Golden Rock seek readmission of its enlarged share capital to the Equity Shares (commercial companies) category of the Official List and Main Market, and has prompted a temporary suspension of its shares while due diligence, regulatory approvals, fundraising and prospectus clearance are pursued, with no certainty yet on completion, terms or timing.
