# Nova Minerals Plans Corporate Reorganization; Shares Up Pre-Bell

05:40 AM EST, 02/04/2026 (MT Newswires) -- Nova Minerals ( NVA ) said late Tuesday it plans to undertake a corporate reorganization following the loss of its foreign private issuer status, effective July 1.

This will include a planned redomiciliation to the US by the end of June while maintaining the company's dual ASX and Nasdaq listings.

As part of the process, Nova Minerals ( NVA ) said it also plans to acquire the remaining 15% interest it doesn't already own in the Estelle gold and critical minerals project in Alaska.

The company said Chief Financial Officer Michael Melamed has provided three months' notice of his resignation, effective April 30, while Nova Minerals ( NVA ) starts a formal process to appoint a US-based CFO.

The proposed redomiciliation, which will require shareholder and court approval, is expected to be implemented via a scheme of arrangement. The company's board expects to finalize the terms of the proposed scheme by April.

Nova Minerals ( NVA ) shares were up 2.3% in recent premarket activity Wednesday.
