# Kingdee International Software Group Company Limited commences an Equity Buyback Plan for 354,946,877 shares, representing 10% of its issued share capital, under the authorization approved on May 22, 2025.

> Kingdee International Software Group Company Limited has initiated an equity buyback plan for 354,946,877 shares, which is 10% of its issued share capital. This program, approved by shareholders on May 22, 2025, will enhance the company's net asset value and earnings per share. The buybacks will be financed from legally available funds and will expire at the next Annual General Meeting or if varied or revoked earlier.

Kingdee International Software Group Company Limited (SEHK:268) commences share repurchases on February 4, 2026, under the program mandated by the shareholders in the Annual General Meeting held on May 22, 2025. As per the mandate, the company is authorized to repurchase up to 354,946,877 shares, representing 10% of its issued share capital. The repurchases will lead to an enhancement of the net asset value and/or earnings per share for the company.

The repurchases will be financed out of funds legally available for the purpose in accordance with the Memorandum and the Articles of Association, the Listing Rules and the applicable laws of the Cayman Islands. The authority shall expire at the earliest of the next Annual General Meeting, the date on which the next Annual general Meeting is required to be held or the date on which the authority is varied or revoked in a General Meeting. As of May 22, 2025, the company has 3,549,468,771 shares in issue.
