# WISCOM: Appointing senior advisors constitutes a related party transaction with the general manager of the Shanghai Center

WISCOM announced that on February 5, 2026, the company's ninth board of directors held its second meeting and approved the proposal to appoint He Anying as a senior advisor and Zhao Dan as the general manager of the Shanghai center, with both terms lasting one year and annual salaries not exceeding 800,000 yuan. He Anying was the chairman of the eighth board of directors, and Zhao Dan is one of the actual controllers. Both individuals have a related party relationship with the company, and this payment of remuneration constitutes a related party transaction but does not constitute a major asset reorganization. The transaction was approved in advance by the independent directors and does not require shareholder approval
